Insider actions

I noticed from yahoo finance, there are different kinds of insider activities like

Option Exercise
Acquisition (Non Open Market)
Market Direct Purchase
Planned sale

Direct purchase from market is best, but how come we have acquisition not from open market but doesn't belong to option exercise? I mean basically he acquired from whom?

And this planned sale, sounds like it's already planned out before. can we actually make difference from this planned sale and instant sale.

Original SEC form 4 filing is the only information insiders gave out to public for their selling. Yahoo insider information is based on that Form 4.

But even form 4 may not say anything more than that Yahoo insider information summary .

Acquisition shares from non-open market usually means that insiders buy shares from company's employment incentive share offering. Insiders can buy stocks from company directly at discounted price.
